本ライセンスは、合同会社チアイズクリエイション（以下「当ショップ」）で販売するBGM・音楽素材の利用条件を定めるものです。対象商品を購入することにより、本ライセンスに同意したものとみなされます。

第1条　ライセンスの内容

購入者は、本ライセンスの範囲内において、購入したBGM・音楽素材を利用することができます。購入により付与されるのは楽曲の利用権であり、著作権その他の知的財産権が譲渡されるものではありません。著作権は引き続き合同会社チアイズクリエイションまたは正当な権利者に帰属します。

第2条　制作について

当ショップで販売する楽曲は、音楽生成AIによる作曲・編曲を行っておりません。制作工程の一部においても、音楽生成AIは使用しておりません。すべての楽曲は、作曲家本人が作曲・編曲を行っています。

第3条　利用可能な範囲

購入したBGMは、以下の用途で利用できます。

• YouTube、SNS、ポッドキャスト等の配信コンテンツ
• Webサイト、アプリ、ゲーム、映像作品
• 企業紹介動画、広告動画、プレゼンテーション
• 店舗、展示会、イベント等でのBGM利用
• その他、映像・音声・空間演出への組み込み利用

個人・法人を問わず利用可能です。なお、1つの購入ライセンスにつき、1店舗または1施設内での利用に限ります。複数店舗・施設での利用には、別途ライセンスが必要です。

第4条　クレジット表記

クレジット表記は必須ではありません。可能な場合は、以下の表記を歓迎します。

第5条　禁止事項

以下の行為は禁止します。

• 楽曲データの再販売、再配布、譲渡、貸与
• 音源素材集、BGM販売サービス等への登録
• 楽曲を自作曲として公表する行為
• 楽曲単体またはほぼ単体での配信・公開、または楽曲の視聴を主目的とするコンテンツへの使用
• Content ID等の著作権管理システムへの登録
• 歌詞・ボーカルの追加
• アダルトコンテンツへの使用
• AI学習データとしての使用
• 公序良俗に反する利用
• 不正な手段による楽曲データの取得および利用
• その他、当ショップが不適切と判断する利用

第6条　編集・加工

購入したBGMは、利用目的に応じて以下の編集を行うことができます。

• フェードイン・フェードアウト
• 音量調整
• カット編集
• ループ編集
• 映像やナレーションに合わせた長さ調整

ただし、編集後の楽曲を新たな音源として販売・配布することはできません。

第7条　利用期間

本ライセンスは購入後、期間・回数の制限なく利用できます。

第8条　免責事項

楽曲の利用により発生した損害、トラブルまたは第三者との紛争について、当ショップに故意または重大な過失がある場合を除き、当ショップは責任を負いません。また、間接的損害、逸失利益、機会損失等については、いかなる場合も責任を負いません。

YouTubeのContent IDその他の著作権管理システムによる誤検知について、当ショップは責任を負いかねます。異議申し立ては各プラットフォームへ直接お問い合わせください。

第9条　ライセンスの取消

購入者が第4条の禁止事項に違反した場合、当ショップは事前の通知なく本ライセンスを取り消すことができるものとします。この場合、購入代金の返金は行いません。

第10条　準拠法・管轄裁判所

本ライセンスの解釈および適用は日本法に準拠するものとします。本ライセンスに関して紛争が生じた場合には、東京地方裁判所を第一審の専属的合意管轄裁判所とします。

第11条　本ライセンスの変更

当ショップは、必要に応じて本ライセンスの内容を予告なく変更できるものとします。変更後のライセンスは、当ショップのウェブサイトに掲載された時点から効力を生じるものとし、既に購入済みの楽曲については、原則として購入時点のライセンス内容が適用されるものとします。

BGM License

This license defines the terms of use for BGM and music materials sold by Chiais Creation LLC (hereinafter "the Shop"). By purchasing the relevant product, you are deemed to have agreed to this license.

Article 1 — License Terms

Purchasers may use the purchased BGM and music materials within the scope of this license. The purchase grants a license to use the music. Copyright and other intellectual property rights are not transferred. Copyright remains with Chiais Creation LLC or the respective rights holders.

Article 2 — About Our Production Process

The music sold by the Shop is not composed or arranged using AI music generation tools. No part of the production process involves the use of AI music generation. All tracks are composed and arranged by the composer.

Article 3 — Permitted Uses

Purchased BGM may be used for the following purposes:

• Streaming content such as YouTube, SNS, and podcasts
• Websites, apps, games, and video productions
• Corporate introduction videos, promotional videos, and presentations
• BGM for stores, exhibitions, and events
• Integration into video, audio, and spatial productions

Available for both personal and commercial use. Each license is limited to use within a single store or facility. A separate license is required for use across multiple locations.

Article 4 — Credit

Credit is not required. If possible, the following attribution is welcomed:

Article 5 — Prohibited Uses

The following are prohibited:

• Resale, redistribution, transfer, or lending of music files
• Registration with sample packs, BGM distribution services, or similar platforms
• Presenting the music as your own original work
• Distributing or publishing the music as a standalone or near-standalone track, or using the music in content where listening to the music is the primary purpose
• Registration with copyright management systems such as Content ID
• Adding lyrics or vocals
• Use in adult content
• Use as AI training data
• Use that violates public order or morals
• Any acquisition of music files through unauthorized means, or any use that violates applicable laws
• Any other use deemed inappropriate by the Shop

Article 6 — Editing & Modifications

Purchased BGM may be edited for the purpose of use in the following ways:

• Fade in / fade out
• Volume adjustment
• Cut editing
• Loop editing
• Length adjustment to match video or narration

However, edited versions of the music may not be sold or distributed as new audio content.

Article 7 — Duration

This license is valid indefinitely after purchase, with no limits on the number of uses.

Article 8 — Disclaimer

The Shop is not liable for any damages, disputes, or issues with third parties arising from the use of the music, except in cases of intentional misconduct or gross negligence on the part of the Shop. In no event shall the Shop be liable for indirect damages, lost profits, or loss of business opportunity.

The Shop cannot be held responsible for false claims by YouTube Content ID or other copyright management systems. Please contact the relevant platform directly to file a dispute.

Article 9 — License Termination

If a purchaser violates any of the prohibited uses set forth in Article 4, the Shop may terminate this license without prior notice. In such cases, no refund of the purchase price will be provided.

Article 10 — Governing Law and Jurisdiction

This license shall be governed by and construed in accordance with the laws of Japan. Any disputes arising in connection with this license shall be subject to the exclusive jurisdiction of the Tokyo District Court as the court of first instance.

Article 11 — Changes to This License

The Shop may revise the terms of this license at any time without prior notice. Any revised license shall take effect once posted on the Shop's website. For music purchased prior to a revision, the license terms in effect at the time of purchase shall, in principle, continue to apply.
